Cross-Border Merger

WINDSTORM TRADING & INVESTMENTS LIMITED, a private limited liability company duly incorporated and validly existing under the laws of Cyprus with registration number HE 209596 (the Company), is the sole shareholder of POLPHARMA GROUP HOLDING B.V., a private limited liability company incorporated and existing under the laws of the Netherlands, having its statutory seat in Amsterdam, the Netherlands, and its office address at Herengracht 480, 1017 CB Amsterdam, the Netherlands, registered with the trade register of the Dutch Chamber of Commerce under number 96080892 (the Disappearing Company).
The Company intends to simplify its corporate structure by means of a cross-border merger by which the Company will absorb the Disappearing Company (the Cross-Border Merger).
The Common Draft Terms of Cross-Border Merger (the Cross-Border Merger Plan) and other relevant documents of the Cross-Border Merger are hereby published in accordance with section 201ΙΓ(2) of the Cyprus Companies Law, Cap. 113.
The General Meeting of the Company that will examine and approve the Common Terms of the Cross-Border Merger and other relevant documents of the Cross-Border Merger has been set for the 27th of October 2026 at 10:00 at the Company’s registered office at Stadiou, 126, Floor 1, 6020, Larnaca, Cyprus.
